F ederal Reserve Bank of Dallas DALLAS, TEXAS 75222 Circular No. 74-2 2 7 August 27, 1974 ELECTION OF DIRECTORS NO M INATION PROCEDURES To All M e m b e r Banks in the Eleventh Federal Reserve District: An election will be held under the provisions o f Section 4 o f the Federal Reserve Act to choose successors to the follow ing directors o f this Bank, whose terms expire December 31, 1974: Class A Director — A. W . Riter, Jr. President and Chairman o f the Executive Committee The Peoples N ational Bank o f Tyler Tyler, Texas Class B Director — Hugh F. Steen President El Paso Natural Gas Company El Paso, Texas Mr. Riter, the Class A Director, was elected by banks in Group 2, consisting o f banks having capital and surplus o f $6 5 0 ,0 0 0 and over, but less than $ 4 ,0 0 0 ,0 0 0 , and his successor w ill be chosen by the banks in this group. Mr. Riter, who has served as a director o f this Bank since 1969, has requested that his name not be placed in nomination fo r re-election. This request is in accordance with the current policy approved by the Board o f Directors o f this Bank favoring rotation o f directors a fter serving two consecutive three-year terms. Mr. Steen, the Class B Director, was elected by banks in Group 3, consisting o f banks having capital and surplus o f under $65 0 ,0 0 0 , and his successor will be chosen by the banks in this group. Mr. Steen, who has served as a director o f this Bank since 1969, has requested that his name not be placed in nomination fo r re-election. This request, likewise, is in accordance with the current policy approved by the Board o f Directors o f this Bank favoring rotation o f directors a fter serving two consecutive three-year terms. The banks comprising Groups 2 and 3 are listed on the follow ing pages. The group in which a member bank will be entitled to vote will be determined by its classification as o f the date o f this letter, even though its capital and surplus subsequently may change prior to the date o f the election. Except in the case o f any member banks that are subsidiaries o f the same bank holding company,* each bank in Group 2 is permitted to nominate one candidate fo r Class A Director and each bank in Group 3 is permitted to nominate one candidate fo r Class B Director. The nominations must be m ade by resolu tion of the Board of Directors, certified to me and received in my office on or before September 27, 1974. A form and return envelope fo r this purpose are enclosed. On O ctober 4, 1974, a list o f the candi dates (indicating by whom nominated) and a preferential ballot will be mailed to each bank in the voting groups. The ballot must be cast within 15 days after receipt. The polls will open at 9 a.m. on O ctober 8, 1974, and close at 2 p.m. on October 23, 1974. A t that time the ballot box will be opened at this Bank, the votes counted, and the results of the election announced. The candidates are invited to be present or represented on that occasion. ^Section 4 of the Federal Reserve Act, as am e n d e d , reads in part as follows: . . That whenever any member banks within the same Federal Reserve district are subsidiaries o f the same bank holding company within the meaning o f the Bank Holding Company Act o f 1956, participation in any such nomination or election by such member banks, including such bank holding company if it is also a member bank, shall be confined to one o f such banks, which may be designated fo r the purpose by such holding com pany.” Accordingly, banks in Groups 2 an d 3 affected by the foregoing provision of the la w are requested to take prompt action to have the ap prop riate b ank holding com pany designate, if it has not a lre a d y designated, one of such banks to participate in this nomination and election. Officers so authorized are listed on the follow ing pages. Inasmuch as the authority conferred on these officers continues until revoked, they need not be redesignated. Each member bank which has not designated an officer, or officers, fo r the purpose o f signing the ballot, or any bank that desires to change its designation, should do so by resolution o f its Board o f Directors and certify the designation to me before the polls close. A form fo r this purpose will be furnished upon request. If the official signature o f the officer, or officers, authorized to cast the ballot has not been filed with this Federal Reserve Bank, such official signature should be filed before the polls close. W h ile the banks in Group 1 w ill not vote in this election, this circular is sent to them, w ithout forms, for their information. Very truly yours, Chairman o f the Board Enclosures (2) Information Concerning Eligibility for Class A Directorship of a Federal Reserve Bank Section 4 o f the Federal Reserve Act contains the follow ing provisions: “ Class A shall consist o f three members, who shall be chosen by and be representative o f the stockholding banks.” “ No officer or director o f a member bank shall be eligible to serve as a Class A director unless nominated and elected by banks which are members o f the same group as the member bank o f which he is an officer or dire cto r.” “ A ny person who is an officer or director o f more than one member bank shall not be eligible fo r nomination as a Class A director except by banks in the same group as the bank having the largest aggregate resources o f any o f those o f which such person is an officer or d ire cto r.” “ No Senator or Representative in Congress shall be a member o f the Board o f Governors o f the Federal Reserve System or an officer or a director o f a Federal Reserve Bank.” In a resolution adopted December 23, 1915, the Federal Reserve Board expressed the opinion “ that persons holding political or public office in the service o f the United States, or o f any State, territory, county, district, political subdivision, or m unicipality thereof, or acting as members o f political party committees, cannot consistently with the spirit and underlying principles o f the Federal Reserve Act, serve as directors or officers o f Federal Reserve Banks.” GROUP 2 Co ns ist s o f all m e m b e r b a n k s h a v i n g c a p i t a l a n d s u r p lu s o f $ 6 5 0 , 0 0 0 a n d o v e r , b u t less th a n $ 4 , 0 0 0 , 0 0 0 . President, Vice President, Cashier 8 Info rm atio n Concerning E lig ib ility for Class B Directorship of a Federal Reserve Bank Section 4 of the Federal Reserve Act contains the following provisions: “ Class B shall consist of three members, who at the time of their election shall be actively engaged in their district in commerce, agriculture or some other industrial pursuit.” “ No director of Class B shall be an officer, director, or employee of any bank.” “ No Senator or Representative in Congress shall be a member of the Board of Governors of the Federal Reserve System or an officer or a director of a Federal Reserve Bank.” In a resolution adopted December 23, 1915, the Federal Reserve Board expressed the opinion “ that persons holding political or public office in the service of the United States, or of any State, territory, county, district, political subdivision, or municipality thereof, or acting as members of political party committees, cannot consistently with the spirit and underlying principles of the Federal Reserve Act, serve as directors or officers of Federal Reserve Banks.” Under interpretations of the Board of Governors of the Federal Reserve System, a person whose sole occupation is that of an officer of an insurance company or of a savings and loan association is not eligible for election as a Class B director of a Federal Reserve Bank.
