ELECTION OF DIRECTORS
NOMINATION PROCEDURES
To All Member Banks
in the Eleventh Federal Reserve District:
An election w ill be held under the provisions o f Section 4 of the Federal Reserve Act, as amended by
the Federal Reserve Reform A ct o f 1977, to choose successors to the fo llo w in g d irectors of th is Bank,
whose term s expire December 31, 1979:

Mr. Adam s, the C lass A Director, was elected by banks in Group 3, co nsisting of banks having capital
and surplus of $1,000,000 and under, and his successor w ill be chosen by the banks in th is group.
Mr. Adam s, who has served as a director of th is Bank since 1974, has requested th a t his name not be
placed in nom ination fo r reelection. This request is in accordance w ith the current p olicy approved by the
Board o f D irectors of th is Bank favoring rotation of d irectors after serving tw o consecutive three-year
terms.
Mr. Orton, the Class B D irector, was elected by banks in Group 1, co nsisting o f banks having capital
and surplus o f $4,000,000 and over, and his successor w ill be chosen by the banks in th is group. Mr. Orton,
who has served as a director o f th is Bank since 1974, has requested th a t his name not be placed in nom ina­
tion fo r reelection. This request, likewise, is in accordance w ith the current policy approved by the Board of
D irectors of th is Bank favoring rota tion o f directors after serving tw o consecutive three-year term s.
The banks com prising Groups 1 and 3 are listed on the fo llo w in g pages.
The group in w hich a member bank w ill be entitled to vote w ill be determ ined by its c la s s ific a tio n as of
the date o f th is letter, even though its capital and surplus may subsequently change prior to the date of the
election.
Except in the case of any member banks th a t are subsidiaries of the same bank holding com pany,*
each bank in Group 1 is perm itted to nom inate one candidate for C lass B D irector and each bank in
Group 3 is perm itted to nom inate one candidate fo r Class A Director. When several banks are subsidiaries
of a bank holding com pany, the nom ination form is being sent only to the bank designated to p articip a te in
th is election; therefore, banks in G roups 1 and 3 th a t w ill not p articip a te in th is election are being sent th is
circular, w ith o u t form s, fo r th e ir inform ation. The nominations must be made by resolution of the Board of
Directors, certified to me and received in my office on or before September 21,1979. A form and return

“ ...That whenever any member banks within the same Federal Reserve district are subsidiaries of the same
bank holding company within the meaning of the Bank Holding Company Act of 1956, participation in any
such nomination or election by such member banks, including such bank holding company if it is also a
member bank, shall be confined to one of such banks, which may be designated for the purpose by such
holding company.”
In this connection, the Board of Governors of the Federal Reserve System has ruled that a holding company affiliate,
having one or more subsidiary banks in each of the three groups into which member banks of a Federal Reserve district
are divided for the purpose of electing directors, may designate one such bank in each group to participate in the
nomination and election of each Class A Director and each Class B Director chosen by the group of which such bank is
a member, and such member bank so designated may validly participate in such nomination and election. Accordingly,
banks in Groups 1 and 3 affected by the foregoing provision of law are requested to take prompt action to have the ap­
propriate bank holding company designate, if it has not already designated, one of such banks to participate in this
election.

nom inated) and a preferential b allot w ill be m ailed to each bank in the voting groups. The b allot m ust be
cast w ith in 15 days a fte r receipt. The polls w ill open at 9 a.m. on O ctober 10,1979, and close at 2 p.m. on
O ctober 25,1979. A t th a t tim e, the b allot box w ill be opened at th is Bank, the votes counted, and the results
o f the e lection announced. The candidates are invited to be present or represented on th a t occasion.
In order to be counted, the ballot must be executed by an officer authorized to cast the vote. O fficers
so authorized are listed on the fo llo w in g pages. Inasm uch as the a uth ority conferred on these o ffic e rs con­
tinues u ntil revoked, they need not be redesignated. Each member bank w hich has not designated an o f­
ficer, or o fficers, fo r the purpose o f signing the ballot, or any bank th a t desires to change its designation,
should do so by resolution o f its Board o f D irectors and c e rtify the designation to me before the polls
close. A form fo r th is purpose w ill be furnished upon request. If the official signature of the officer, or of­
ficers, authorized to cast the ballot has not been filed with this Federal Reserve Bank, such official
signature should be filed before the polls close.
While the banks in Group 2 will not vote in this election, this circular is sent to them, without forms, for
their information. Group 2 co n sists o f member banks w ith com bined ca pita l and surplus o f over
$1,000,000, but under $4,000,000.

Information Concerning Eligibility for
Class B Directorship of a Federal Reserve Bank
Section 4 of the Federal Reserve Act, as amended by the Federal Reserve Reform A ct o f 1977, con­
ta in s the fo llo w in g provisions: “ C lass B shall co n sist o f three members, who shall represent the public and
shall be elected w ith o u t d iscrim in a tio n on the basis of race, creed, color, sex, or national origin, and w ith
due but not exclusive consideration to the interests o f agriculture, com m erce, industry, services, labor,
and consum ers.” “ No d ire cto r o f Class B shall be an o ffice r, director, or em ployee o f any bank.” “ No
Senator or Representative in Congress shall be a member of the Board o f Governors o f the Federal
Reserve System or an o ffic e r or a d ire cto r o f a Federal Reserve Bank.”
The Board o f Governors o f the Federal Reserve System has expressed the opinion “ ...that, to be con­
siste n t w ith the s p irit and underlying princip les o f the Federal Reserve A ct, it is inappropriate, as a general
rule, fo r o ffice rs and d irectors of Federal Reserve Banks and Branches to hold partisan p o litic a l or p ublic
o ffice in the service o f the United States, or o f any state, te rrito ry, county, d is tric t, p o litic a l subdivision, or
m u n icip a lity thereof, or to act as m embers o f p o litic a l party co m m itte es.”
