federal Reserve ban k of Dallas September 26, 1952 ELECTION OF DIRECTORS To the M em ber Banks o f the Eleventh Federal Reserve District: An election will be held under the provisions of Section 4 of the Federal Reserve Act to choose successors to the following directors of this bank: Class A director - Mr. J. Edd McLaughlin, President Security State Bank & Trust Company, Ralls, Texas (Elected by banks in Group 3; term expires December 31, 1952) Class B director - Mr. George L. MacGregor, Chairman of the Board, President and General Manager Dallas Power and Light Company, Dallas, Texas (Elected by banks in Group 1; term expires December 31, 1952) Class B director - Mr. George H. Zimmerman (Deceased), President Wm. Cameron & Co., Waco, Texas (Elected by banks in Group 2 ; term expires December 31, 1954) As indicated, the terms of office of Directors McLaughlin and MacGregor will terminate on December 31, 1952, and their successors will not qualify or take office until January 1, 1953. Because o f the death of Mr. Zimmerman on August 29, 1952, his successor will qualify and take office immediately following election and will serve during the unexpired portion of Mr. Zimmerman’s term of office, ending December 31, 1954. The Class A director who succeeds Mr. McLaughlin will be elected by banks in Group 3; the Class B director who succeeds Mr. MacGregor, by banks in Group 1; and the Class B director who succeeds Mr. Zimmerman, by banks in Group 2. In accordance with the announcement contained in my circular letter of September 13, 1949, Group 1 consists of banks with capital and surplus of $650,000 and over; Group 2 consists of banks with capital and surplus of $150,000 and less than $650,000; and Group 3 consists of banks with capital and surplus of $150,000 and less. Lists of banks comprising all three groups are given on the following pages. Each bank in Group 3 is permitted to nominate a candidate for Class A director; each bank in Group 1, a candidate for Class B director; and each bank in Group 2, a candidate for Class B director. The nomination must be made by resolution of the member bank’s Board of Directors, and a certified copy of the resolution must be forwarded in time to reach me on or before October 27, 1952. A form for this purpose is enclosed. On or about October 31, 1952, a list of the candidates and the names of the nominating banks and a preferential ballot will be mailed to each bank. The polls will open on November 3, 1952, and will close at 2:00 p.m. on November 18, 1952. The ballots must be executed during that period and mailed to reach me before the closing of the polls. On the last day of the voting period, the ballot box will be opened in the Board Room of this bank, the votes counted, and the results of the election announced. The candidates will be invited to be present or represented on that occasion. In order to be counted, a ballot must be executed by an officer authorized by resolution of the member bank’s Board of Directors to cast the vote for that bank. On the following pages are shown the titles of officers heretofore designated for that purpose. The authority conferred on them continues until revoked. Each bank that has not designated such an officer, or officers, or any bank that desires to change its authorization, should do so by reso lution of its Board of Directors and certify the appointments to me before the polls close. No Class B director shall be an officer, director or employee of any bank. Under a resolution of the Federal Reserve Board, adopted December 23, 1915, persons holding political or public office in the service of the United States, or of any state, territory, county, district, political subdivision, or municipality thereof, or acting as members of political party committees, can not, consistently with the spirit and underlying principles of the Federal Reserve Act, serve as directors or officers of Federal Reserve banks. No officer or director of a member bank shall be eligible to serve as a Class A director unless nominated and elected by banks which are members of the same group as the member bank of which he is an officer or director. Any person who is an officer or director of more than one member bank shall not be eligible for nomination as a Class A director except by banks in the same group as the bank having the largest aggregate resources of any of those of which such person is an officer or director. Under a resolution of the Federal Reserve Board, adopted December 23, 1915, persons holding political or public office in the service of the United States, or of any state, territory, county, district, political subdivision, or municipality thereof, or acting as members o f political party committees, can not, consistently with the spirit and underlying principles of the Federal Reserve Act, serve as directors or officers of Federal Reserve banks.
