Fe d e r a l R e s e r v e bank of Da l l a s October 1,1946 ELECTION OF DIRECTORS To the M em ber Banks of the Eleventh Federal Reserve District: An election will be held under the provisions of Section 4 of the Federal Reserve Act to choose successors to the following directors o f this bank whose terms expire December 31, 1946. Class A director - Mr. Frank Turner, President First National Bank in Decatur, Decatur, Texas Class B director - Mr. Geo. A. Hill, Jr., President Houston Oil Company of Texas, Houston, Texas The Class A director will be elected by banks in Group 3, and the Class B director by banks in Group 1. The banks in Group 2 do not elect a director this year. Group 1 consists o f banks, having capital and surplus in excess of $499,000; Group 2 consists of banks with capital and surplus not exceeding $499,000 and not less than $100,000; and Group 3 consists of banks having capital and surplus of less than $100,000. Lists of banks comprising Groups 1 and 3 are given on the following pages. Each bank in Group 1 is permitted to nominate a candidate for Class B director and each bank in Group 3 a candidate for Class A director. The nomination must be made by resolution of the Board o f Directors and a certified copy of the resolution must be forwarded in time to reach me on or before November 1, 1946. A form for this purpose is enclosed. On or about November 8, 1946, a list of candidates (indicating by whom nominated) and a preferential ballot will be mailed to each bank in the voting groups. The polls will open on November 12, 1946 and close at 2:00 p.m. on November 27, 1946 and the ballots must be executed during that period and be mailed so as to reach me before the closing of the polls. On the last day of the voting period, the ballot box will be opened in the Board Room of this bank, the votes counted, and the results of the election announced. The can didates are invited to be present or represented on that occasion. In order to be counted, the ballot must be executed by an officer authorized to cast the vote. On the following pages are shown the titles of officers heretofore designated for that purpose. The author ity conferred on them continues until revoked. Each bank that has not designated such an officer, or officers, or any bank that desires to change its authorization, should do so by resolution of its Board of Directors and certify the appointments to me before the polls close. A form is enclosed which may be used for either purpose. When an authorization is made, it is preferable that designations should be by title. While the banks in Group 2 will not vote in this election, this circular is sent to them, without forms, for their information. Yours very truly, J. R. No Class B director shall be an officer, director or employee o f any bank. Under a resolution of the Federal Reserve Board, adopted December 23, 1915, persons holding political or public office in the service of the United States, or of any state, territory, county, district, political subdivision, or municipality thereof, or acting as members of political party committees, can not, consistently with the spirit and underlying principles of the Federal Reserve Act, serve as direc tors or officers of Federal Reserve banks. No officer or director of a member bank shall be eligible to serve as a Class A director unless nominated and elected by banks which are members of the same group as the member bank o f which he is an officer or director. Any person who is an officer or director of more than one member bank shall not be eligible for nomination as a Class A director except by banks in the same group as the bank having the largest aggregate resources of any of those of which such person is an officer or director.
