To the Member Bank Addressed:
The term of office of Class A Director, J. H. Frost, and of Class B Director, Frank
Kell, will expire December 31, 1927. As Mr. Frost represents the banks in Group 1
(having a combined capital and surplus in excess of $399,000), and Mr. Kell represents
the banks in Group 2 (having a combined capital and surplus not exceeding $399,000
and not less than $100,000), Groups 1 and 2 will elect the successors to Messrs. Frost
and Kell, respectively. A list of the banks in these groups is appended hereto.

The Banks in Group 3 do not elect a director this year. This circular is sent to them
merely for their information.
Each bank in Group 1 has the right to nominate a candidate for Class A director,
and each bank in Group 2 is entitled to nominate a candidate for Class B director. Every
nomination must be made by resolution of the board of directors (a form for which is
herewith enclosed) and certified to me not later than November 7, 1927. Nominations
received thereafter cannot be listed.
Nominations for Class A and Class B directors are governed by the following rules:
Section 4 of the Federal Reserve Act provides that “ Class A shall consist
of three members, who shall be chosen by and be representative of the stock­
holding banks. No officer or director of a member bank shall be eligible to serve
as a Class A director unless nominated and elected by banks which are mem­
bers of the same group as the member bank of which he is an officer or director.
Any person who is an officer or director of more than one member bank shall
not be eligible for nomination as a Class A director except by banks in the same
group as the bank having the largest aggregate resources of any of those of
which such person is an officer or director. Class B shall consist of three mem­
bers, who at the time of their election shall be actively engaged in their district
in commerce, agriculture or some other industrial pursuit. No director of Class
B shall be an officer, director or employe of any bank. No Senator or Repre­
sentative in Congress shall be a member of the Federal Reserve Board or an
officer or a director of a Federal reserve bank.”
In a resolution adopted December 23, 1915, the Federal Reserve Board
expressed the opinion “ that persons holding political or public office in the serv­
ice of the United States, or of any State, territory, county, district, political
subdivision, or municipality thereof, or acting as members of political party
committees, cannot consistently with the spirit and underlying principles of the
Federal Reserve Act, serve as directors or officers of Federal reserve banks.”
On December 28, 1915, the Federal Reserve Board resolved that “ national bank
examiners shall not hereafter be elected * * * to directorships in Federal re­
serve banks.” Under date of July 2, 1925, the Federal Reserve Board advised it
had “ reached the conclusion that a person whose sole occupation is that of of­
ficer of an insurance company is not eligible for election as a Class B director of
a Federal reserve bank.”

On November 13, or as soon as the list of nominations can be tabulated, there will
be mailed to all member banks in the district, for their information, a list of the nom­
inees, with the names of the nominating banks. A preferential ballot form will be
enclosed to the banks in Groups 1 and 2 only. The ballot should be executed and
returned to the undersigned within 15 days after receipt, the Federal Reserve Board
having designated November 15 as the date for opening the polls.
This year, in canvassing the results of the election, a new method of counting the
ballots will be used, designed to make each member bank’s vote a secret ballot. It is
hoped that the new plan (full details of which will be given in my circular letter of
November 13th) will stimulate greater interest in the election and cause a larger num­
ber of member banks to participate in the voting than have done so in the past. To
participate in the election of Glass A and B directors is not only a member bank’s right
and privilege, but also its legal duty and obligation under the express provisions of the
Federal Reserve Act.
In order to be counted, each ballot must be executed by an officer authorized, by
resolution of the board of directors, to cast the vote. Designation by title is continuous
and remains in effect until revoked. Therefore, the designated voting officers of Groups
1 and 2, as shown in the following pages, need not be redesignated unless the officer was
originally designated by both name and title and his title has since been changed.
Each bank that has not designated its voting officer, and each bank that desires to
change its authorization, should do so by resolution of its board of directors and certify
the appointment to me before the polls close. A form for that purpose is enclosed
herewith.
The result of the election will be announced on or about December 1.
In returning the enclosed forms, please observe the following:
Write plainly or typewrite the information requested.
Affix the seal of your bank to the certificates.
Return the certificates promptly in the self-addressed envelope enclosed.
