Eighth Federal Reserve District:
An election will be held under the provisions of Section 4 of the Federal Reserve Act to
choose successors to the following directors of this bank, whose terms expire December 3 1 ,1 9 8 0 :
Class A Director,

Mr. Donald N . Brandin, Class A Director, was elected by banks in Group 1, and his successor
will be chosen by banks in this group. Group 1 consists of banks having capital and surplus over
$4,000,000.
Mr. Brandin, who has served as a Class A Director since January 1, 1975, has respectfully
requested that his name not be placed in nomination for reelection.
Mr. Ralph C. Bain, Class B Director, was elected by banks in Group 3, and his successor will
be chosen by banks in this group. Group 3 consists of banks having capital and surplus under
$ 1, 200,000.

Mr. Bain, who has served as a Class B Director since January 1, 1975, has respectfully re­
quested that his name not be placed in nomination for reelection.
The banks comprising Groups 1 and 3 are listed on the following pages.
The group in which a member bank will be entitled to vote will be determined by its class­
ification as of the date of this letter, even though its capital and surplus may subsequently change
prior to the date of the election.
Each bank in Group 1 is permitted to nominate one candidate for Class A Director and each
bank in Group 3 is permitted to nominate one candidate for Class B Director.* Th e nominations
must be made by resolution of the Board of Directors and certified to me on or before October 17,
1980. A form for this purpose is enclosed. On October 24,1980, a list of the candidates (indicating
by whom nominated) and a preferential ballot will be mailed to each bank in the voting groups.
The ballot must be cast within fifteen days after receipt. The polls will open at 9 a.m. on October 28,
1980, and close at 2 p.m. on November 12, 1980. A t that time the ballot box will be opened in
the Board Room of this bank, the votes counted and results of the election announced. The candi­
dates are invited to be present or represented on that occasion.




In order to be counted, the ballot must be executed by an officer authorized to cast the vote.
If the official signature of the officer, or officers, authorized to cast the ballot has not been filed
with this Federal Reserve Bank, such official signature should be filed before the polls close.
Inasmuch as the authority conferred on these officers continues until revoked, they need not be
reappointed. Each member bank which has not designated an officer, or officers, for the purpose
of signing the ballot, or any bank that desires to change its authorization, should do so by res­
olution of its Board of Directors and certify the appointment to me before the polls close. A form
for this purpose will be furnished upon request.
While the banks in Group 2 will not vote in this election, this circular is sent to them without
forms for their information.

Section 4 of the Federal Reserve A c t contains the following provisions: "Class A
shall consist of three members, without discrimination on the basis of race, creed,
color, sex, or national origin, who shall be chosen by and be representative of the
stock-holding banks." "N o officer or director of a member bank shall be eligible to
serve as a Class A director unless nominated and elected by banks which are members
of the same group as the member bank of which he is an officer or director." "A n y
person who is an officer or director of more than one member bank shall not be
eligible for nomination as a Class A director except by banks in the same group as the
bank having the largest aggregate resources of any of those of which such person is an
officer or director." "N o director of Class B shall be an officer, director, or employee
of any bank." "N o Senator or Representative in Congress shall be a member of the
Board of Governors of the Federal Reserve System or an officer or a director of a
Federal reserve bank."
Section 4 of the Federal Reserve A ct, as amended by the Federal Reserve Re­
form A c t of 1977, provides that Class B shall consist of three members, who shall be
chosen to represent the public and be elected "w ith due but not exclusive consider­
ation to the interests of agriculture, commerce, industry, services, labor, and con­
sumers."
O n June 2, 1978 the Board of Governors restated its long-standing policy that
activity which might be interpreted as associating the Federal Reserve with any polit­
ical party or political activity is inconsistent with service as a bank director.
