FEDERAL RESERVE BANK OF ST. LOUIS ELECTION OF DIRECTORS St. Louis, September 20, 1930. TO T H E M EM B ER BA NK S IN D IS T R IC T No. 8: An election will be held under the provisions of Section 4 of the Federal Reserve Act to choosc successors to the following directors of this bank whose terms expire December 31, 1930: Class A director, Max B. Xahm (Vice-President, Citizens National Bank, Bowling Green, K y.), and Class B director, James \Y. H arris (President, Harris-Polk Hat Co., St. Louis, Mo.). The Class A director was elected by banks in Group 2 and the Class B director by Group 1 banks. Consequently, their successors will be chosen, respectively, by these groups. The banks in Group 3 do not elect a director this year. Group 1 consists of banks having capital and surplus in excess of $599,000; Group 2, banks with capital and surplus of $599,000 to $100,000, inclusive, and Group 3, banks having capital and surplus less than $100,000. Lists of the banks composing the voting groups are given on the following pages. Each bank in Group 2 is permitted to nominate a candidate for Class A director and each bank in Group 1 a candidate for Class B director.* The nomination must be made by resolution of the board of directors and certified to me on or before October 25, 1930. A form and self-addressed envelope for this purpose are enclosed. On October 30, 1930, a list of the candidates (indicating by whom nomi nated) and a preferential ballot will be mailed to each bank in the two groups mentioned. The ballot must be cast within fifteen days alter receipt. The polls will open on November 1 and close at 3 p. m. on November 17, 1930. At that time the ballot box will be opened in the board room of this bank, the votes counted and results of the election announced. The candidates are invited to be present or represented on that occasion. In order to be counted, the ballot m ust be executed by an officer authorized to cast the vote. As shown on the following pages, authority to cast the ballot has heretofore been vested in a single offi cer. This has made necessary the adoption of a new- resolution in the event of his absence, resignation, death or other incapacity. To facilitate participation in elections, each member bank is now requested to designate, by title only, several officers (Chairman of the Board of Directors, President, Vice-President or Cashier, or some other officer if desired) to cast its vote. This should be done by resolution of the board of directors, and the resolution and signatures of the authorized officers should be certified to me before the polls close. A form for this purpose is furnished herewith. While the banks in Group 3 will not vote in this election, this circular is sent to them with the revised form for authorizing several officers to cast their ballots in future elections. Each is requested to have the resolution adopted at the next board meeting and to return the form to me. Respectfully, J O H N S. N o officer or directo r of a m em ber ban k shall be eliirible to serve as a Class A d irecto r unless nom inated and elected by banks w hich are m em bers of th e sam e group as the m em ber bank of which he is an officer o r director. A ny person w ho is an officer o r d irector of m ore th an one m em ber bank shall n o t be eligible for nom ination as a Class A director except by bank s in the sam e group as the ban k having th e largest aggregate resources of any of those of which such person is an officer or director. Class B shall consist of three m em bers, w ho a t the tim e of th eir election shall be tctively engaged in their district m commerce, agriculture or som e o th er in dustrial pursuit. X o director of Class B shall be an officer, d irector or employe of any bank.
