Nomination of Directors
To the M ember Banks of the Second Federal Reserve District:

An election will be held under the provisions of section 4 of the Federal Reserve Act,
as amended —
1. To fill the vacancy in the office of class A director for the unexpired portion of
the term ending December 31, 1977, from which Stuart M cC arty , President of
First-City National Bank of Binghamton, Binghamton, N. Y., has resigned, effective
April 1, 1977; and
2. To fill the vacancy in the office of class B director for the unexpired portion of
the term ending December 31, 1978, from which Jack B. Jackson, former President
of J. C. Penney Co., Inc., New York, N. Y., has resigned, effective February 1, 1977.
Mr. McCarty was elected by member banks in Group 2 and his successor will be chosen
by this group. Mr. Jackson was elected by member banks in Group 3 and his successor will
be chosen by this group. Member banks in Group 1 will not participate in this election.
The classification of member banks for the purpose of nomination and election of class A
and B directors of the Federal Reserve Bank of New York is as follows:
Group 1 consists of banks with capital and surplus of more than $65,000,000;
Group 2, of banks with capital and surplus of $3,000,000 to $65,000,000, inclusive; and
Group 3, of banks with capital and surplus of less than $3,000,000.

For the purposes of this election, a member bank’s classification will be determined by its
capital and surplus as of the date of this circular, even though its capital and surplus may
change before the polls close. The list of banks comprising Group 2 begins on page 3; the
list of banks comprising Group 3 begins on page 7.
Except in the case of any member banks that are subsidiaries of the same bank holding
company, * each bank in Group 2 is permitted to nominate a candidate for class A director for*31

the unexpired portion of the term ending December 31, 1977, and each bank in Group 3
is permitted to nominate a candidate for class B director for the unexpired portion of the term
ending December 31, 1978.f The nominations should be made by resolutions of the boards
of directors of the nominating banks (or by resolutions of the banks’ executive committees, if
such committees are empowered to take such action), and certified copies of such resolutions
should be sent to me so as to reach me on or before Tuesday, March 29, 1977. The enclosed
printed forms show the appropriate forms of resolution, and one executed copy of the appro­
priate form for each nomination should be returned to me.
On March 30, 1977, copies of the list of candidates (indicating by whom nominated) and
preferential ballots will be mailed to the banks in Groups 2 and 3. The law provides that the
ballot shall be cast within 15 days after receipt of this list. The polls will open at 10 a.m.,
March 31, 1977, and will close at 12 noon on Friday, April 15, 1977. Upon the closing of
the polls, the ballot box will be opened in the board room of this Bank, the votes counted
and checked by tellers and the results of the election announced. The candidates may, if they
so desire, be present or represented on that occasion.
In order to be counted as valid, the ballot must be executed by an officer authorized to
cast the vote and must be received by me at or before the time thus fixed for the closing of the
polls (i.e., at or before 12 noon on Friday, April 15, 1977). The officers heretofore designated
for this purpose by the banks in Groups 2 and 3 are shown on the lists beginning on page 3
and on page 7, respectively. Any Group 2 or Group 3 bank that desires to change its author­
ization should do so by resolution of its board of directors; a certified copy of such resolution
must reach me before the polls close. A form for this purpose will be furnished upon request.
Because banks in Group 1 will not participate in this election, this circular is sent to them
without forms and for their information only.

f Section 4 of the Federal Reserve Act, as amended, reads in part as follows:

“Class A shall consist of three members, who shall be chosen by and be representative of the
stock-holding banks. . . . No officer or director of a member bank shall be eligible to serve as a class A
director unless nominated and elected by banks which are members of the same group as the member
bank of which he is an officer or director.
“Any person who is an officer or director of more than one member bank shall not be eligible for
nomination as a class A director except by banks in the same group as the bank having the largest
aggregate resources of any of those of which such person is an officer or director.”
“Class B shall consist of three members, who at the time of their election shall be actively engaged
in their district in commerce, agriculture or some other industrial pursuit. . . . No director of class B
shall be an officer, director, or employee of any bank.”
[Under interpretations of the Board of Governors of the Federal Reserve System, a person whose sole occupation
is that of officer of an insurance company or of a savings and loan association is not eligible for election as a class B
director of a Federal Reserve Bank.]

“No Senator or Representative in Congress shall be a member of the Board of Governors of the
Federal Reserve System or an officer or a director of a Federal reserve bank.”

opinion “that persons holding political or public office in the service of the United States, or of any State, Territory,
county, district, political subdivision, or municipality thereof, or acting as members of political party committees,
cannot consistently with the spirit and underlying principles of the Federal Reserve Act, serve as directors or officers

Recommendations for Candidates in the 1977
Special Election of Directors of the Federal Reserve Bank
of New York by Banks in Groups 2 and 3
To All M ember Banks in the
Second Federal Reserve District:

The Federal Reserve Bank of New York will hold an election to fill the vacancy on its Board of
Directors caused by the resignation of Stuart McCarty as a Class A director, effective April 1, 1977, and
of Jack B. Jackson as a Class B director, effective February 1, 1977. Mr. McCarty’s successor will serve
as a Class A director for the unexpired portion of his three-year term, ending December 31, 1977, and
will be chosen by the member banks in Group 2, as classified by the Board of Governors of the Federal
Reserve System, that is, those banks with capital and surplus of $3,000,000 to $65,000,000, inclusive.
Mr. Jackson’s successor will serve as a Class B director for the unexpired portion of his three-year term,
ending December 31, 1978, and will be chosen by the member banks in Group 3, as classified by the
Board of Governors of the Federal Reserve System, that is, those banks with capital and surplus of
less than $3,000,000.
The undersigned committee, appointed by the bankers associations of New York, New Jersey, and
Connecticut to make recommendations to member banks of candidates for directors of the Federal
Reserve Bank of New York, and to inform member banks of the qualifications of these candidates,
recommends for nomination the following individuals, who have consented to serve if elected:

RAYMOND W. BAUER
President
United Counties Trust Company, Elizabeth, N. J.
R aymond W. B auer was born in Linden, New Jersey, on August 27, 1915. He was graduated
from Dartmouth College in 1937 and also holds a Master of Commercial Finance degree from
Dartmouth University. In 1942, after receiving a Bachelor of Laws degree from Rutgers University,
he was admitted to the New Jersey Bar.
Mr. Bauer began his business career in 1940 with C. H. Winans Company, a construction and
investment corporation in Roselle, N. J. He has held various positions with the company, currently
serving as its president and director.

In 1944 Mr. Bauer was named a director of Linden Trust Company in Linden, N. J., and in
1951 he joined the staff of the bank as a vice president. He was appointed executive vice president
of the bank in 1956 and president in 1958. In 1961, after the bank merged with Union County
Trust Company, Mr. Bauer was named president, chief executive officer, and a director of the

bank. Following the merger of Union County with Keansburg-Middletown National Bank in 1972,
Mr. Bauer became president, chief executive officer, and director of United Counties Trust Com­
pany, the resultant institution.
Mr. Bauer is a director of the Eastern States Bankcard Association and has held various
positions with the New Jersey Bankers Association, currently serving as a member of the executive
committee. He has also served as a member of the American Bankers Associations Government
Relations and Governing Councils, the New Jersey State Banking Advisory Board, and the Board
of Governors of the Mortgage Bankers Association.

New York Telephone Company, New York, N. Y.
J ohn R. Mulhearn was bom in Jersey City, New Jersey, on April 16, 1924. He was graduated
from Manhattan College with a Bachelor of Eleotrical Engineering degree in 1948, and from Stevens
Institute of Technology with a Master of Science degree in 1952.

Mr. Mulhearn joined New York Telephone in 1948. Following various assignments at the com­
pany, he was appointed a vice president in 1963. He became a director in April 1970 and was named
an executive vice president in 1971. In December 1973 he joined the parent company, American
Telephone and Telegraph, as a vice president and while there directed the Bell System corporate
policy seminar. In April 1976 he returned to the New York Telephone Company as its president.
Mr. Mulhearn is a trustee of Manhattan College and a director of Allegheny Airlines, American
Republic Life Insurance Co. of New York, the Inmont Corporation, the Manpower Education Insti­
tute, the Municipal Art Society, and the New York State 4-H Foundation. He is also on the executive
board of The American Red Cross in Greater New York.
He is a director of Central Savings Bank, New York, N. Y., but will resign from that position,
if elected, to comply with the eligibility requirements of the Federal Reserve Act.
