Nomination and Election of Directors
(By member banks in Group 2 only, that is, member banks with capital
and surplus of more than $300,000 and less than $10,000,000).
To Member Banks in the Second Federal Reserve District:

In accordance with the provisions of section 4 of the Federal Reserve Act, as amended, and
circular No. 2285, dated September 26, 1941, in regard to election of directors of this bank for terms of
office from January 1, 1942, to December 31, 1944, to succeed OTIS A. THOMPSON, class A director, and
WALTER C. TEAGLE, class B director, whose terms expire December 31, 1941, there are given on pages 3 and
4 the names of the candidates nominated for such directors, indicating by whom nominated.
To each bank in Group 2, except banks affiliated with holding company affiliates which have designated another bank to participate in this election*, the following are being sent with this circular:

Preferential ballot for use in voting for candidates for class A director and class B director.
Colored ballot envelope in which the ballot is to be sealed.
Certificate envelope bearing on its face the certificate in regard to the vote.
Addressed envelope in which all of the foregoing should be returned to me.

The ballot and certificate on the certificate envelope must be executed by an officer who has been
authorized to cast the vote. A list showing the officers designated for this purpose by the respective
member banks in Group 2 was attached to the above mentioned circular dated September 26, 1941, and a
similar list amended to October 27, 1941, is attached to this circular beginning at page 5. In order that the
ballot may be secret, the name of the bank and the name and title of the voting officer should not be
written on the ballot, but should be written only on the certificate envelope.
(1) After the preferential ballot has been marked,
(2) It should be placed in the colored ballot envelope and that envelope sealed.
(3) Then the sealed colored ballot envelope should be placed within the certificate envelope,
and the certificate envelope should be sealed and the certificate thereon executed.
(4) Then the certificate envelope containing the sealed colored ballot envelope should be
returned to me in the enclosed addressed envelope.
* As indicated in circular No. 2285, dated September 26, 1941, section 4 of the Federal Reserve Act, as amended, provides that whenever any two or more member banks within the same Federal reserve district are affiliated with the same
holding company affiliate, participation by such member banks in the election of directors of Federal reserve banks shall
be confined to one of such banks, and the holding company affiliate may designate the bank to participate in such election.
Consequently, the ballot of any bank in Group 2 so affiliated cannot be counted as valid unless there is on file with me
evidence that such bank has been so designated.




The law provides that the ballot shall be cast within 15 days after receipt of the list of candidates
transmitted herewith. The polls will open on October 30, 1941, and will close at 12 o'clock noon on Friday, November 14, 1941, and in order to be counted as valid the ballot must be received by me at or before
the latter time. Upon the closing of the polls the ballot box will be opened in the board room of this bank,
the sealed envelopes containing the ballots will be opened, the votes counted and checked by tellers and the
results of the election announced. The candidates are invited to be present or represented on this occasion.
The banks in Groups 1 and 3 will not vote in this election, and this circular is sent to them without
forms for their information only.

WILLIAM JEFFERSON FIELD, JERSEY CITY, N. J.
President, Commercial Trust Company of New Jersey, Jersey City, N. J.
was born in Jersey City, New Jersey, in 1873. He was educated in the Jersey
City high school and was a special student at New York University Law School. In 1890 he was employed by the
Hanover National Bank, New York City, and remained with that bank until 1900 when he became associated
with the Commercial Trust Company of New Jersey. He has been president of that institution since 1924.
Mr. Field is vice president and director of Registrar and Transfer Company of New Jersey, and vice
president and director of Registrar and Transfer Company of New York. He was treasurer of the Jersey City
Chapter of the American Red Cross during the World War; member of the Board of Finance, Jersey City,
1910-1913; member of the American Bankers Association Executive Council 1903-1906; secretary of the New
Jersey Bankers Association 1903-1928; president of the New Jersey Bankers Association 1928-1929, and is a
member of the New York Advisory Board of the Reconstruction Finance Corporation.

was born in Norwalk, Ohio, in 1876, was graduated by Yale University in 1898
with the degree of A.B., and subsequently has received the following honorary degrees: Yale, M.A.; Colgate, LL.D.;
Rensselaer Polytechnic Institute, Doctor of Engineering.
Mr. "Williamson began his business career with the New York Central Railroad and was promoted to claim
agent, freight agent, car accountant, assistant division superintendent and division superintendent. He was with
the United States Railroad Administration, New York, 1917-1918; general superintendent and assistant to general
manager of the New York Central Railroad, 1918-1925; vice president in charge of operation and maintenance
of the Northern Pacific Railway, July 1, 1925-September 15, 1928; executive vice president of the Chicago,
Burlington & Quincy Railroad and Colorado & Southern Lines, September 15, 1928-January 1, 1929; chairman
of the executive committee and president of Chicago, Burlington & Quincy and Colorado & Southern Lines,
January 1,1929-January 1, 1932; president and director of New York Central Railroad and its subsidiaries, since
January 1, 1932.
Mr. Williamson is a director of the Central Railroad of New Jersey, Cleveland-Cliffs Iron Company;
a director and member of the Executive Committee of the Association of American Railroads, and a member of
the American Railway Engineering Association.
