Nomination and Election of Directors
(By member banks classified in Group 3 on October 24, 1966, that is, member banks with
capital and surplus of less than $1,500,000 on that date)
To the Member Banks of the Second Federal Reserve District:
In accordance with the provisions o f section 4 of the Federal Reserve A ct, as amended, and Circular
No. 5886, dated October 24, 1966, on the election o f directors of this Bank fo r terms o f office from
January 1, 1967 to December 31, 1969, to succeed R o b e r t H. F e a r o n , class A director, and A l b e r t L.
N i c k e r s o n , class B director, whose terms expire December 31, 1966, there are shown on pages 2 and 3 the
names o f the candidates nominated fo r such offices, and by whom nominated.
To each member bank classified in Group 3 on October 24, 1966, except those member banks that
are subsidiaries o f the same bank holding company and have not been designated to participate in this
election,* the follow ing are being sent with this circu la r:
(a ) Ballot fo r use in voting for candidates for class A director and class B director.
(b ) Colored ballot envelope in which the ballot is to be sealed.
(c ) Certificate envelope bearing on its face the certificate in regard to the vote.
(d ) Addressed envelope in which all o f the foregoing should be returned to me.
The ballot and the certificate on the certificate envelope must be executed by an officer who has been
authorized to cast the vote. A list o f the officers designated fo r this purpose by the member banks in
Group 3 was contained in the above-mentioned circular dated October 24, 1966, and a similar list revised
to date is contained herein. In order that the ballot may be secret, the name o f the bank and the name and
title o f the voting officer should not be written on the ballot, but should be written only on the certificate
envelope.
(1 ) A fter the ballot has been marked,
(2 ) It should be placed in the colored ballot envelope and that envelope sealed.
(3 ) Then the sealed colored ballot envelope should be placed within the certificate envelope, and
the certificate envelope should be sealed and the certificate thereon executed.
(4 ) Then the certificate envelope containing the sealed colored ballot envelope should be returned
to me in the enclosed addressed envelope.
The law provides that the ballot shall be cast within 15 days after receipt o f the list o f candidates
transmitted herewith. The polls will open at 10 a.m., December 1, 1966, and will close at 12 noon on
Friday, December 16, 1966, and in order to be counted as valid the ballot must be received by me at or
before the latter time. U pon the closing o f the polls the ballot box will be opened in the Board Room o f this
Bank, the sealed envelopes containing the ballots will be opened, the votes counted and checked by tellers,
and the results o f the election announced. The candidates will be invited to be present or represented on
this occasion, if they so desire.
Because banks in Groups 1 and 2 will not vote in this election, this circular is sent to them without
form s and fo r their inform ation only.

A s indicated in Circular N o. 5886, dated October 24, 1966, section 4 of the Federal Reserve A ct, as amended,
provides that whenever any member banks within the same Federal Reserve District are subsidiaries of the same bank holding
company within the meaning of the Bank Holding Company A ct of 1956, participation in the nomination or election of
directors of Federal Reserve Banks by such member banks, including such bank holding company if it is also a member bank,
shall be confined to one of such banks, which may be designated for the purpose by such holding company.
Consequently,
the ballot of any bank in Group 3 affected by this provision o f law cannot be counted as valid unless there is on file with me
evidence that such bank has been so designated.

E u g e n e H o r t o n M o r r i s o n was born September 10, 1921 in Middletown, N. Y., where he still resides. He is a
graduate of the Massachusetts Institute of Technology (B. S., Mechanical Engineering).
Mr. Morrison served in the U. S. Army from February 1943 to June 1946 as general staff engineer officer, Rome
Area Allied Command, and was discharged in 1946 with the rank of captain, U. S. Army Reserve. In 1947, he joined
the Orange County Trust Company as assistant trust officer, becoming a director in 1954 and president in 1962.
Mr. Morrison is treasurer of the Orange and Rockland Industrial Development Corporation and a member of the
Mid-Hudson Regional Loan Committee of the New York Business Development Corporation. He is also president
of the Hillside Cemetery Corporation, past chairman of the Trust Division, New York State Bankers Association, and
a member of the Educational Council of Massachusetts Institute of Technology.
Active in community affairs, Mr. Morrison is president o f E. A. Horton Memorial Hospital and vice chairman
of the Orange County Home for Aged Women, Inc.

M a u r i c e R. F o r m a n was born July 3, 1904 in Rochester, N. Y., where he still resides. He was educated in the
Rochester public schools and attended Lehigh University, after which he spent several years in the European offices
of B. Forman Co., Inc. He served with the U. S. Army in World War II in the Pacific, advancing to the rank of major.
He became president of B. Forman Co., Inc., a general merchandising concern in Rochester, in 1953 and continues to
serve in that capacity.
Mr. Forman is vice president and a director of Midtown Holdings Corp., Rochester, a director of Associated
Merchandising Corporation, New York City, president of Station WBBF, Inc., Rochester, and State director of the
National Retail Merchants Association. He is also a trustee of Rochester Institute of Technology and a member of the
Board of Regents of St. John Fisher College. He serves his community as a member of the Board of Rochester
Community Chest, Bureau of Municipal Research, Rochester Memorial Art Gallery, and Jewish Home for the Aged.
Mr. Forman is now a director of the Buffalo Branch of the Federal Reserve Bank of New York. He has been
serving on the Branch Board since January 1963 and was chairman for the year 1965.
